  • Client Content – Any materials or information provided by the client, including job descriptions, requirements, and related documentation.
  • Deliverables – The services or outputs agreed upon under the Agreement.
  • Company Tools – Internal systems, sourcing methods, templates, and processes used by dynamics-staffing.com.
  • Final Deliverables – Completed staffing services or candidate submissions provided under the Agreement.
  • Project – A specific recruitment or staffing engagement.
  • Services – Staffing, recruitment, candidate sourcing, and related advisory services.
  • Third-Party Materials – Content, platforms, or services supplied by external providers.

Service Delivery

Services are provided in accordance with agreed milestones and timelines. We apply professional expertise and commercially reasonable efforts in delivering staffing services.

Outcomes may depend on market conditions, candidate availability, and client responsiveness.

Proposal and Scope

Unless otherwise stated, proposals remain valid for thirty (30) days. If not accepted within that timeframe, we may revise terms and issue an updated proposal.

Fees and Expenses

  • Service Fees
    Fees are defined in the Agreement.
  • Additional Costs
    Third-party costs are billed separately unless explicitly included.
  • Expenses
    Approved expenses may be invoiced at cost.
  • Taxes
    Clients are responsible for applicable taxes unless otherwise agreed.

Payment Terms

Invoices are payable within five (5) calendar days unless otherwise specified in writing. Milestone-based payment schedules may apply where agreed.

Changes to Scope

All change requests must be submitted in writing.

Minor adjustments that do not materially affect scope or pricing may be accommodated within the existing Agreement.

Major changes impacting scope, timeline, or fees require a revised or supplemental agreement. Revised proposals remain valid for fourteen (14) working days unless otherwise stated.

Delays

Delays caused by late client approvals, incomplete information, or unavailable materials may result in corresponding timeline extensions.

If delays occur on our side, we will notify the client promptly.

Events beyond reasonable control, including force majeure circumstances, shall not constitute a breach and may extend performance timelines.

Review and Acceptance

We conduct internal checks before submitting deliverables.

Clients are requested to review services or deliverables within seven (7) working days and provide feedback.

Where applicable, reasonable adjustments will be addressed within an agreed timeframe.

Client Obligations

Clients must provide accurate, lawful, and complete information necessary for recruitment activities.

Final hiring decisions and verification of candidate suitability remain the client’s responsibility unless otherwise agreed.

Timely communication is essential to maintain agreed schedules.

Accreditation and Promotion

Unless agreed otherwise in writing, dynamics-staffing.com may reference completed engagements in portfolio materials or marketing communications.

Neither party shall unreasonably restrict factual references to collaboration.

Confidentiality

Both parties agree to maintain the confidentiality of non-public information shared during the engagement.

This obligation does not apply to information that is publicly available or lawfully obtained from independent sources.

Relationship of the Parties

dynamics-staffing.com operates as an independent contractor. Nothing in these Terms establishes a partnership, joint venture, employment, or exclusive relationship.

We may engage subcontractors where appropriate while retaining responsibility for service delivery.

Limitation of Liability

To the extent permitted by applicable law, services are provided “as is.” Our total liability for any claim arising from services shall not exceed the amount paid for the specific services giving rise to the claim.

Rights to Deliverables

Upon full payment, clients receive a non-exclusive, worldwide license to use Final Deliverables as agreed.

Company Tools and proprietary methods remain the property of dynamics-staffing.com unless expressly transferred in writing.

Support

Ongoing support services are provided only if agreed separately and may incur additional fees.

Support obligations may be void if deliverables are altered by third parties without authorization.

Updates to Terms

We may revise these Terms and Conditions at any time. The version published on dynamics-staffing.com governs current use. Continued use of the website or services indicates acceptance of any updates.
